Sales Agreement (Terms of Sale)

Parties: The Site operator and the purchaser placing an order via the Site (the “Buyer”).

1) Definitions and Scope

These Terms of Sale (the “Agreement”) apply to all purchases made through the Site. Placing an order constitutes acceptance of this Agreement and, by reference, the Privacy Policy and Cookie Policy. If you do not agree, please do not place an order.

2) Ordering Process and Contract Formation

• Cart & Checkout: Add item(s) to cart and complete checkout. Review product(s), quantities, price, and shipping/billing details before submission.
• Order Acknowledgement: An automated order received email confirms we have received your order.
• Acceptance & Fulfilment: Your order is accepted (and a binding contract is formed) once stock/availability is confirmed, payment is authorized, and internal checks are completed. We may cancel all/part of an order (e.g., out of stock, pricing/description error, security concerns); any payment will be refunded.
• Changes/Cancellation: After confirmation, changes/cancellations may not be technically possible; outcomes depend on fulfilment stage.

3) Pricing, Taxes, and Invoicing

• Prices: Displayed prices are in the relevant currency and, unless stated otherwise, include VAT. Shipping and any add-on service fees are shown at checkout.
• Errors: We reserve the right to correct typographical/pricing/technical errors. Orders placed at manifestly erroneous prices may be cancelled and refunded.
• Invoice: Invoices are issued in compliance with applicable laws.

4) Payment Terms

• Methods: Card payments, bank transfer, and (if available) PayPal or similar providers.
• Verification: Orders ship only after payment authorization and fraud checks.
• Refund Route: Any refund is processed to the original payment method (subject to legal exceptions).

5) Delivery, Risk, and Address

• Timing: Estimated delivery times are shown at checkout and depend on stock/fulfilment and destination.
• Charges: Shipping costs are calculated at checkout; free-shipping thresholds may apply occasionally.
• Risk Transfer: Risk of loss/damage passes to the Buyer upon delivery. For visible transit damage/shortage, please have a carrier report issued on receipt.
• Address Changes: Post-confirmation address changes may be impossible or may require extra verification/fees.
• Partial Shipments: We may ship items in installments at no extra cost.

6) Right of Withdrawal (Returns) and Cancellations

• 14-Day Withdrawal (Consumers): If you are a consumer, you may withdraw from your purchase within 14 days from delivery without giving any reason. Items should be unused, resellable, and preferably in original packaging.
• Exceptions: Personalized/custom items; sealed goods not suitable for return for health/hygiene reasons (if unsealed); perishable goods; opened software/digital content (if download/access began); and fully performed services may be excluded or limited by law.
• Procedure: Notify us via the channels in Contact. Return items safely as instructed.
• Return Shipping: If the product is defective or wrong, return shipping is on us; otherwise, return shipping is typically the Buyer’s responsibility.
• Refund Timing: After receipt and inspection, refunds are issued within 14 days to the original payment method (statutory exceptions reserved).
• Exchanges: Exchanges depend on stock and follow a separate workflow.

7) Defective/Damaged Goods and Statutory Rights

• Encouraged Notice: For damage/shortage on delivery, please obtain a carrier report and contact us promptly.
• Legal Safeguards: Your statutory consumer rights (e.g., lack of conformity, remedies) remain unaffected and cannot be limited by this Agreement.

8) Warranty

• Manufacturer Warranty: Where stated on the product page, manufacturer/importer warranty terms apply and may require authorized service procedures.
• Non-Conformity: Material discrepancies from the description may trigger statutory remedies.

9) Limitation of Liability

To the maximum extent permitted by law, the Site is not liable for indirect/special/consequential damages, including loss of profit, goodwill, or data. Nothing limits liability for willful misconduct/gross negligence, fraud, or death/personal injury caused by negligence. Mandatory consumer protections remain unaffected.

10) Promotions, Coupons, and Stock

Promotions and coupons are subject to conditions, availability, and time limits. Fraudulent/suspicious use may result in cancellation.

11) Force Majeure

We are not liable for delays/failures caused by events beyond our reasonable control (force majeure), including natural disasters, war, strikes, infrastructure outages, epidemics, etc.

12) Governing Law and Dispute Resolution

Parties shall first seek an amicable resolution. Failing that, Polish law governs and competent courts in Uganda have jurisdiction. Mandatory consumer protections remain unaffected.

13) Changes to these Terms

We may update these Terms at any time. Changes take effect upon publication on the Site. Continuing to place orders constitutes acceptance of the updated Terms.
